These Terms of Service ("Terms") govern your access to and use of BidCompliance (the "Service"), operated by Sharp Logica, Inc. ("Sharp Logica", "we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

BidCompliance helps users analyze RFP and bid documents and generate a requirements-based compliance matrix, findings, and citations. The Service provides decision-support information and does not guarantee outcomes, acceptance of bids, or compliance with any legal or contractual requirements. The Service is intended for business and professional use.

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and have the authority to enter into these Terms.

The Service, including its software, design, text, graphics, trademarks, and other content (excluding your Documents), is owned by Sharp Logica or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service except as permitted by these Terms.

We treat your Documents and results as confidential and use them only to provide the Service. You are responsible for ensuring you have permission to upload and process any confidential or proprietary materials.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHARP LOGICA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SHARP LOGICA FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNT).

The Service relies on third-party services such as Clerk (authentication), Stripe (payments), Azure (cloud infrastructure and storage), and Vercel (hosting). Your use of those services may be subject to their separate terms and policies.

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
